These Terms govern use of the JUNDAR APPAREL website and business-to-business wholesale, sourcing and OEM/ODM transactions. By registering, submitting an inquiry, approving a quotation or placing an order, you represent that you act for a business and agree to these Terms. Mandatory rights that cannot lawfully be excluded remain unaffected.

1. Website Information and Inquiries

Website images, descriptions, prices and availability are for reference and may change. An inquiry-list submission is not an acceptance of an order. A binding transaction arises only when we issue or confirm a written quotation, proforma invoice, sales contract or order confirmation and any required payment is received.

2. Buyer Information

You must provide accurate company, contact, delivery and freight-forwarder information, protect account credentials and notify us of unauthorised use. We may suspend accounts or decline inquiries where information appears false, abusive, fraudulent or inconsistent with wholesale use.

3. Products, Samples and Tolerances

Colours may vary because of screens, lighting, fabric lots and dyeing. Garment measurements and construction may vary within normal commercial and agreed production tolerances. Samples, size charts, tech packs and written approvals control over general website images where inconsistent. The buyer must confirm market-specific labelling, safety, testing and import requirements unless our quotation expressly includes them.

4. Pricing, MOQ and Payment

Final pricing depends on product, quantity, colour, size mix, materials, customisation, packing, availability, exchange rates and freight. Prices exclude duties, taxes, customs clearance and third-party charges unless stated. MOQ and payment terms are stated in the final quotation or contract. We may withhold production or dispatch until cleared payment is received.

5. OEM/ODM and Intellectual Property

The buyer warrants that designs, trademarks, artwork, labels and instructions supplied by the buyer do not infringe third-party rights and agrees to indemnify us against related claims. Unless otherwise agreed in writing, our pre-existing patterns, production methods, know-how, website content and original materials remain our property. Development work may not be reproduced or used without payment of agreed charges.

6. Production Changes and Cancellation

After materials are ordered or production begins, cancellation or material changes require our written consent and reimbursement of work completed, materials, commitments and losses. Deposits and development fees may be non-refundable as stated in the quotation.

7. Delivery, Freight and Customs

Production and delivery dates are good-faith estimates unless expressly guaranteed in writing. The buyer is responsible for accurate addresses, import licences, duties, taxes and customs compliance. Freight to a China forwarder and international freight are confirmed separately. Risk and title transfer according to the agreed Incoterm or written quotation; if none is stated, risk transfers when goods are delivered to the buyer’s nominated carrier or forwarder.

8. Inspection, Returns and Claims

The Wholesale Refund & Returns Policy forms part of these Terms. The buyer must inspect goods and submit evidence within the stated period. Goods damaged, altered, worn, washed or mishandled by the buyer or third parties are not returnable.

9. Force Majeure

We are not liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, war, civil disturbance, government action, labour disruption, power or network failure, material shortage, carrier delay, port congestion or customs action. We will reasonably communicate and resume performance when practicable.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, loss of profit, loss of market, reputational loss or third-party claims arising from resale. Our aggregate liability for a transaction will not exceed the amount actually paid for the affected goods. Nothing excludes liability that cannot lawfully be excluded.

11. Governing Law and Disputes

These Terms and transactions are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules. The parties will first attempt good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts in Guangzhou, China, unless a signed contract provides a different dispute-resolution method.

12. General

Written quotations, proforma invoices and signed contracts prevail over these website Terms where inconsistent. Failure to enforce a provision is not a waiver. Invalid provisions will be limited or severed without affecting the remainder. We may update these Terms for future use of the website.
